1. Agreement to these terms

These Terms & Conditions (“Terms”) govern your access to and use of the websites, services, and platforms provided by Alan King Group, a trade name of Happy Trading LLC, a Wyoming limited liability company located at 30 N Gould St., Suite R, Sheridan, WY 82801 (“AKG”, “we”, “us”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

2. The Services

“Services” include our websites, our manufacturing and brand-operations services, and the AKG Operator platform — a software and human-assisted service that connects to your store and tools to help operate your brand (e.g., inventory, customer service, email, content, ads, and reporting programs).

We may add, change, or remove features. Some features are provided with human assistance (e.g., onboarding and operator support).

3. Eligibility and accounts

You must be at least 18 and able to form a binding contract. You are responsible for your account credentials and for all activity under your account, and you agree to notify us promptly of any unauthorized use.

4. Subscriptions, billing, and cancellation

Paid Services are billed on the plan and cycle you select. Unless stated otherwise:

• · Fees are charged in advance and are non-refundable except where required by law or expressly stated;
• · Onboarding fees, where applicable, are one-time and due at the start of service;
• · We may change pricing on renewal with prior notice;
• · You may cancel as described at signup or by contacting us; cancellation takes effect at the end of the current billing period;
• · You are responsible for applicable taxes.

Joining a waitlist or requesting early access does not create a paid subscription or a guarantee of access.

5. Your data and ownership

As between you and us, you own your business and customer data. You grant us a license to access and process it to provide the Services and to secure and improve our Services. Where we develop or train our AI models we use de-identified or aggregated data, and you may opt out of model-improvement use by contacting alan@akings.com. We do not sell your data and treat it as confidential.

When we process personal data on your behalf, we act as your processor / service provider; for business customers subject to the GDPR or similar laws, a separate Data Processing Agreement (DPA) is available at alankinggroup.com/dpa and is incorporated into these Terms when executed. You are responsible for having the necessary rights and consents for the data you provide and for your end-customers' notices and consents.

6. AI features

Some features use artificial intelligence, powered by third-party AI providers (currently including Anthropic, OpenAI, Google (Gemini), Kling, and Higgsfield). When you use these features, relevant data may be processed by those providers under their own terms and policies, which you should review and to which your use may be subject. You can choose which providers we use on your data, or disable specific ones, by contacting alan@akings.com. AI outputs are provided “as is,” may be inaccurate, and are for your review. You are responsible for reviewing and approving AI-assisted content before it is sent or published, and for final decisions. We are not liable for losses arising from AI-generated errors you choose to use.

7. Acceptable use

You agree not to:

• · Use the Services unlawfully or to violate others' rights;
• · Upload malware, attempt to breach security, or interfere with the Services;
• · Reverse engineer, resell, or access the Services to build a competing product;
• · Send unlawful, deceptive, or unconsented marketing through the Services.

You are responsible for complying with laws applicable to your business, including email (CAN-SPAM), SMS (TCPA), and consumer-protection and privacy laws.

8. Intellectual property

We and our licensors own the Services, including our software, models, designs, and brand. We grant you a limited, non-exclusive, non-transferable right to use the Services per these Terms. You retain ownership of your content and designs. Feedback you provide may be used by us without obligation.

9. Third-party services

The Services integrate with third parties (e.g., Shopify, email/SMS, ad, and payment providers). Your use of those services is governed by their terms, and we are not responsible for them. You authorize us to access them on your behalf as needed to provide the Services.

10. Disclaimers

The Services are provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that results (including revenue or performance) will be achieved.

11. Limitation of liability

To the fullest extent permitted by law, AKG will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total liability arising out of or relating to the Services will not exceed the amounts you paid us for the Services in the twelve (12) months before the event giving rise to the claim.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless AKG and its affiliates from claims, damages, and expenses arising from your content, your use of the Services, or your violation of these Terms or applicable law.

13. Term and termination

These Terms apply while you use the Services. We may suspend or terminate access for breach, non-payment, or unlawful or harmful use. You may stop using the Services at any time. On termination, your right to use the Services ends; provisions that by nature should survive (e.g., ownership, disclaimers, liability limits, indemnity) will survive. We will return or delete customer personal data as described in our Privacy Policy and the DPA.

14. Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law rules. The state and federal courts located in Wyoming will have exclusive jurisdiction, and you consent to their jurisdiction and venue — except that consumers retain any mandatory protections and rights of their home jurisdiction where applicable law so requires.

15. Changes to these terms

We may update these Terms. We will post the updated version with a new “last updated” date and, where appropriate, provide additional notice. Your continued use after changes take effect constitutes acceptance.

16. General

• · Entire agreement: these Terms (with the Privacy Policy and any order forms or the DPA) are the entire agreement between us.
• · Severability: if any provision is unenforceable, the rest remains in effect.
• · No waiver: failure to enforce a provision is not a waiver.
• · Assignment: you may not assign these Terms without our consent; we may assign in connection with a merger or sale.
• · Force majeure: we are not liable for delays or failures caused by events beyond our reasonable control.
